An LLC is a separate legal entity that protects your personal assets from business liabilities. Under the NTA 2025, LLCs with turnover of ₦50M or less are fully exempt from Company Income Tax (CIT). Without an LLC, you pay tax as an individual — at rates up to 25% on all income. An LLC also gives you access to corporate banking, loans, and government contracts.

A minimum of 2 directors and 2 shareholders is required for an LLC in Nigeria. A single person can be both a director and a shareholder.

Once registered, your LLC must obtain a Tax ID from NRS (Nigeria Revenue Service), file annual CIT returns (25% under NTA 2025, or 0% if turnover is ₦50M or less), register for VAT (7.5%) if applicable, and file CAC annual returns. We help you stay compliant with all obligations from day one.
